1. Who we are and what these terms cover#
1.1 These Website Terms of Use (these "Terms") are a legal agreement between you and Narbis, Corp., a Delaware corporation ("Narbis", "we", "us" or "our").
1.2 These Terms govern your access to and use of:
a. the Narbis website at narbis.com and its subdomains, including the science, support and legal pages (the "Website");
b. the Narbis online store at narbis.shop (the "Store"); and
c. any content, feature, tool or service that we make available through either of them.
We refer to the Website and the Store together as the "Site".
1.3 Some parts of the Narbis offering are governed by other documents rather than these Terms. The Narbis mobile and desktop applications and the firmware in Narbis hardware are governed by the End User License Agreement. Purchases, pricing, shipping and order acceptance are governed by the Terms of Sale. Subscriptions are governed by the Subscription Terms of Service. Hardware warranty is governed by the Limited Warranty, returns by the Thirty Day Return Policy, and safe use of the hardware by the Hardware Warnings and Safety Information. Personal information is governed by the Privacy Policy, the Consumer Health Data Privacy Policy and the Cookie Notice. Practitioner accounts are governed by the Practitioner Terms. Where one of those documents conflicts with these Terms on a subject it covers, that document controls for that subject.
1.4 The Store publishes the same policy documents as the Website by linking to the canonical versions on narbis.com. There is one canonical version of each Narbis legal document, and it lives on narbis.com.
2. Acceptance of these terms#
2.1 By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site.
2.2 We may change these Terms. The version in force is the one published on the Site with the Last Updated date above. If a change is material we will post notice on the Site or, where you have an account, email you before it takes effect. Continued use of the Site after a change takes effect is acceptance of the changed Terms. Changes do not apply retroactively to a dispute that arose before the change.
2.3 Only an adult aged 18 or over may create a Narbis account or place an order. If you are under 18 you may use the Site only with the involvement of a parent or guardian, and you may not register an account.
3. Permitted use of the Site#
3.1 Subject to these Terms, we grant you a limited, personal, non exclusive, non transferable, revocable license to access and use the Site for your own information, evaluation and purchasing purposes, and, where you are a Practitioner, for the administration of your Narbis account.
3.2 You may view, download and print a reasonable number of pages from the Site for your own reference, provided you keep all copyright and proprietary notices intact and do not use the material for a commercial purpose without our written consent.
3.3 All other rights are reserved. Access to the Site does not grant you any right in the Narbis content, software, trademarks or data beyond what is expressly granted here.
4. Account registration and security#
4.1 Some features require an account. When you register you must give accurate, current and complete information and keep it up to date.
4.2 You are responsible for keeping your credentials confidential and for all activity that occurs under your account. Do not share your password or let another person use your account.
4.3 Tell us immediately at info@narbis.com if you suspect unauthorized access to your account or any other security incident. We will investigate and, where required, notify you and the relevant authorities.
4.4 We may refuse, suspend or cancel an account or a registration where we reasonably believe it has been used in breach of these Terms, where the information given is false, or where required by law.
5. Accuracy of content on the Site#
5.1 We work to keep the Site accurate and current, but content is provided for general information. Specifications, features, availability, imagery and pricing can change, and pages can contain typographical errors or omissions. We may correct any error and update or withdraw content at any time without notice.
5.2 Product availability differs by region. The Narbis Smart Glasses are sold internationally, but not in the European Economic Area, the United Kingdom or Switzerland, as described in the section titled "Territories we do not serve". Narbis Edge is certified and sold in the United States and Canada only, and nothing on the Site should be read as offering Edge outside the United States and Canada. Where a page does not state a region, the region shown at checkout governs.
5.3 Where the Site describes a firmware feature, a subscription feature or a compatibility, the description is current as at the date of publication and may be superseded by a later release.
6. Territories we do not serve#
6.1 Since 1 October 2026, Narbis does not offer its products or services in the European Economic Area, the United Kingdom or Switzerland. This Site is not directed to those territories, and no Narbis product, subscription or Platform account is offered for sale there.
6.2 In these Terms, the European Economic Area means the 27 member states of the European Union together with Iceland, Liechtenstein and Norway. Switzerland is named separately because it is not part of the European Economic Area.
6.3 The Site is available to read from anywhere, and reading it does not mean we are offering to sell to you where you are. We do not accept an order for delivery or billing in one of those territories, and an order that reaches us from one is refused and refunded, as described in the Narbis Terms of Sale under the section titled "Where each product is available". We do not target advertising or marketing at people in those territories.
6.4 If you bought from us before 1 October 2026 and you are in one of those territories, nothing you already have is affected. Your warranty and your support continue. How we handle your personal information is described in the Narbis Privacy Policy, in the section titled "The European Economic Area, the United Kingdom and Switzerland".
7. Scientific, research and educational content#
7.1 The Site includes pages about the science of neurofeedback and heart rate variability biofeedback, the history of the field, summaries of published research, and citations to third party studies. All of that content is provided for education and general information.
7.2 References to research are provided for educational purposes only and do not constitute a claim that Narbis products produce any particular outcome. Studies cited on the Site were generally conducted by third parties, using their own protocols, populations, equipment and endpoints, and were not necessarily conducted using Narbis products. A cited study is not evidence of what a Narbis product will do for you, and citation is not endorsement by the study authors, their institutions or any funder.
7.3 Content on the Site is not medical, psychological, diagnostic or treatment advice, and it does not create a clinician and patient or any other professional relationship. Do not use it to diagnose a condition or to decide whether to start, stop or change any treatment or medication. Always seek the advice of a qualified professional with any question about a health condition.
7.4 NARBIS PRODUCTS ARE GENERAL WELLNESS PRODUCTS. THEY ARE NOT MEDICAL DEVICES, THEY ARE NOT CLEARED OR APPROVED BY THE UNITED STATES FOOD AND DRUG ADMINISTRATION, AND THEY ARE NOT INTENDED TO DIAGNOSE, TREAT, CURE, MITIGATE OR PREVENT ANY DISEASE OR CONDITION. INDIVIDUAL RESULTS VARY AND NARBIS DOES NOT PROMISE ANY PARTICULAR RESULT.
7.5 Testimonials, case descriptions and user stories on the Site reflect the experience of the individual concerned. They are not typical results, they are not clinical evidence, and they are published with that person's permission.
8. Intellectual property and trademarks#
8.1 The Site and everything on it, including text, graphics, photographs, video, audio, illustrations, page layouts, software, code and the selection and arrangement of content, is owned by Narbis or its licensors and is protected by copyright and other intellectual property laws.
8.2 "Narbis", "Narbis Edge", the Narbis logo and the Narbis product names are trademarks of Narbis. You may not use them without our prior written permission, except in a factual, nominative reference that does not suggest sponsorship or endorsement. No trademark claim is made on this Site to any name that Narbis does not use in commerce.
8.3 Third party names, logos and marks that appear on the Site are the property of their respective owners and are used for identification only.
8.4 You must not frame the Site, mirror it, or present Narbis content as your own. You may link to the Site provided the link is fair, does not damage our reputation, and does not imply an association or endorsement that does not exist. We may withdraw linking permission at any time.
9. User submissions, reviews and other content you provide#
9.1 The Site may allow you to submit reviews, ratings, questions, photographs, comments, support requests and other material ("Submissions").
9.2 You keep ownership of your Submissions. You grant Narbis a worldwide, non exclusive, royalty free, sublicensable and transferable license to host, store, reproduce, adapt, publish, translate, display and distribute your Submissions in connection with operating and promoting the Site and the Narbis products, in any media, for as long as you keep the Submission posted and for a reasonable period afterwards for archival and legal purposes. You waive any moral rights in the Submission to the extent permitted by law.
9.3 You represent that you own or control the rights in each Submission, that it is accurate and not misleading, that it does not infringe anyone's rights or breach any duty of confidence, and that it does not contain another person's personal information or health information without their consent.
9.4 Reviews must reflect your genuine experience with a product you actually used. Do not post a review in exchange for undisclosed payment, and disclose any material connection to Narbis. Where a review was submitted as part of an incentivized program, we identify it as such.
9.5 Do not submit Neurophysiological Data or health information about yourself or anyone else through a public feature of the Site. Public features are not designed to protect sensitive information. Send anything of that kind to info@narbis.com or through the Apps instead.
9.6 We do not routinely review Submissions before they appear and we do not endorse any opinion in them. We may decline to publish, edit for length or clarity, or remove a Submission that breaches these Terms, that is unlawful, or that we reasonably consider harmful, and we may do so without notice. We are not obliged to monitor Submissions.
10. Third party links and services#
10.1 The Site links to third party websites, resources, cited research, payment processors, shipping carriers and app stores. Those are provided for convenience.
10.2 We do not control third party sites and services, we are not responsible for their content, products, availability, accuracy or practices, and a link is not an endorsement. Your use of a third party site or service is governed by that party's terms and privacy notice, and you should read them.
11. Accessibility#
11.1 Narbis is committed to making the Site usable by as many people as possible, including people who use assistive technology. We aim to conform to the Web Content Accessibility Guidelines (WCAG) 2.2 at Level AA, and we take accessibility into account when we design and update pages, forms and checkout.
11.2 Accessibility is ongoing work and some content, particularly older material, third party embeds and user Submissions, may not yet meet that standard.
11.3 If you encounter a barrier on the Site, or need information from the Site in an alternative format, contact info@narbis.com with the page and a description of the problem. We will acknowledge your message, work with you to give you access to the information or transaction you needed, and use the report to fix the underlying issue.
12. Availability of the Site and changes to it#
12.1 We aim to keep the Site available but we do not guarantee that it will be available uninterrupted or error free. Access may be suspended for maintenance, upgrades, security work or reasons beyond our control.
12.2 We may change, suspend, restrict or discontinue any part of the Site, including any feature or content, at any time and without liability to you. Where a change affects an order you have already placed, the Terms of Sale govern.
13. Pricing, currency and orders#
13.1 All prices on the Site are stated and charged in United States dollars (USD) unless a page expressly states another currency. If your payment method is denominated in another currency, your bank or card issuer performs the conversion at its own rate and may apply a foreign transaction fee. Narbis does not set and does not receive those charges.
13.2 Prices exclude shipping, handling, sales tax, value added tax, customs duties and import charges unless the checkout page states otherwise. Those amounts are calculated and shown before you confirm your order, or where they are levied on import, are payable by you to the carrier or the authority.
13.3 Prices, promotions and product availability can change at any time before you place an order. The price that applies to your order is the price shown at checkout when you confirm it.
13.4 Displaying a product on the Site is an invitation to treat and not an offer. Your order is an offer to buy. A contract is formed only when we accept your order, which we do by sending a dispatch confirmation. Where a product was listed at an obviously incorrect price because of an error, we may decline or cancel the order and refund you in full, and we will tell you why.
13.5 Order acceptance, payment, shipping and risk of loss are governed by the Terms of Sale. Subscription pricing, renewal, cancellation and refunds are governed by the Subscription Terms of Service. Hardware defects are covered by the Limited Warranty. Returns are governed by the Thirty Day Return Policy and are handled by RMA. Request an RMA through info@narbis.com, and the return destination is issued with the RMA.
13.6 Edge may be purchased for delivery in the United States and Canada only. We do not accept an order with a delivery address or a billing address in the European Economic Area, the United Kingdom or Switzerland, as described in the section titled "Territories we do not serve". We may cancel and refund an order that cannot lawfully be shipped to your destination.
14. Prohibited conduct#
You must not:
a. use the Site in breach of any applicable law or regulation, or for any fraudulent or deceptive purpose;
b. interfere with or disrupt the Site, its servers or its networks, including by introducing malware, launching a denial of service attack, or overloading any part of the infrastructure;
c. probe, scan or test the vulnerability of the Site, or breach or attempt to breach any authentication, rate limiting or other security measure, except under a written authorization from Narbis. Report vulnerabilities in good faith to info@narbis.com;
d. access or attempt to access another user's account, order or data;
e. use a robot, spider, scraper, harvesting tool or other automated means to access, monitor or copy the Site, or to collect email addresses or personal information from it, except that we permit search engine crawlers that obey our robots file;
f. reverse engineer, decompile or disassemble any part of the Site or its software, except to the extent that restriction is unenforceable under applicable law;
g. resell, sublicense or commercially exploit the Site or its content without our written consent, or use the Site or its content to develop or market a competing product or service;
h. impersonate any person or entity, or misrepresent your affiliation with any person or entity, including Narbis;
i. post or transmit anything that is unlawful, defamatory, harassing, threatening, discriminatory, or that infringes any intellectual property right or right of privacy;
j. use the Site to send unsolicited commercial messages; or
k. remove, obscure or alter any copyright, trademark or other proprietary notice.
15. Copyright complaints, notice and takedown#
15.1 Narbis respects intellectual property rights and responds to notices of claimed copyright infringement under the Digital Millennium Copyright Act (DMCA), 17 U.S.C. 512.
15.2 Designated agent. Narbis has designated an agent to receive notices of claimed infringement. The agent is contacted by email only, at info@narbis.com, with the subject line "DMCA Notice". Notices sent by any other route may not be received or acted on.
15.3 What your notice must contain. To be effective, a written notice must include substantially the following:
a. a physical or electronic signature of the copyright owner or a person authorized to act on their behalf;
b. identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works are covered by a single notice;
c. identification of the material claimed to be infringing, with enough detail for us to locate it, including the URL on the Site;
d. your contact details, including an email address at which we can reach you;
e. a statement that you have a good faith belief that the use of the material in the manner complained of is not authorized by the copyright owner, its agent or the law; and
f. a statement that the information in the notice is accurate, and, under penalty of perjury, that you are the copyright owner or are authorized to act on the owner's behalf.
15.4 What we do. On receipt of an effective notice we will expeditiously remove or disable access to the material, take reasonable steps to notify the person who posted it, and keep a record of the notice.
15.5 Counter notification. If your material was removed and you believe it was removed by mistake or misidentification, you may send a counter notification to info@narbis.com with the subject line "DMCA Counter Notice". It must include your signature, identification of the material and where it appeared before removal, a statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification, your name and contact details, and your consent to the jurisdiction of the federal district court for the judicial district in which you are located, or, if you are outside the United States, of any judicial district in which Narbis may be found, and your agreement to accept service of process from the person who gave the original notice. We may restore the material 10 to 14 business days after we forward your counter notification, unless we first receive notice that a court action has been filed.
15.6 Misrepresentation. Under 17 U.S.C. 512(f), a person who knowingly materially misrepresents that material is infringing, or that it was removed by mistake, may be liable for damages.
15.7 Repeat infringers. We will terminate, in appropriate circumstances, the accounts of users who are repeat infringers.
16. Disclaimers#
16.1 THE SITE AND ALL CONTENT ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NARBIS AND ITS LICENSORS AND SUPPLIERS DISCLAIM ALL WARRANTIES, CONDITIONS AND REPRESENTATIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON INFRINGEMENT.
16.2 NARBIS DOES NOT WARRANT THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED, SECURE, ERROR FREE OR FREE OF HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY CONTENT, INCLUDING RESEARCH SUMMARIES, CITATIONS, SPECIFICATIONS, AVAILABILITY AND PRICING, IS ACCURATE, COMPLETE OR CURRENT.
16.3 NARBIS IS NOT RESPONSIBLE FOR ANY THIRD PARTY WEBSITE, SERVICE, STUDY, PRODUCT OR SUBMISSION LINKED TO, CITED OR PUBLISHED ON THE SITE.
16.4 THIS SECTION DOES NOT EXCLUDE OR LIMIT ANY WARRANTY, GUARANTEE OR RIGHT THAT CANNOT BE EXCLUDED OR LIMITED UNDER THE LAW THAT APPLIES TO YOU AS A CONSUMER. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE EXCLUSIONS ABOVE MAY NOT APPLY TO YOU.
17. Limitation of liability#
17.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NARBIS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, LICENSORS AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR LOSS OR CORRUPTION OF DATA, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY, AND WHETHER OR NOT NARBIS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
17.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF NARBIS ARISING OUT OF OR RELATING TO THESE TERMS AND YOUR USE OF THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO NARBIS THROUGH THE SITE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE LIABILITY, AND (B) ONE HUNDRED UNITED STATES DOLLARS.
17.3 THE LIMITATIONS IN THIS SECTION DO NOT APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, FOR A PARTY'S WILLFUL MISCONDUCT, OR TO ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE LIMITATIONS ABOVE MAY NOT APPLY TO YOU.
18. Indemnity#
18.1 To the extent permitted by law, you will indemnify and hold harmless Narbis and its officers, directors and employees from any third party claim, and from the resulting losses, liabilities, damages, costs and reasonable legal fees, arising out of your breach of these Terms, your misuse of the Site, your Submissions, or your infringement of a third party right.
18.2 Narbis will notify you of any claim it seeks indemnity for, allow you to control the defense with counsel reasonably acceptable to Narbis, and cooperate at your expense. You may not settle a claim in a way that imposes an obligation or admission on Narbis without our written consent.
18.3 This section does not apply to the extent the claim arises from Narbis own act or omission, and it does not apply where you are a consumer and applicable consumer law prohibits it.
19. Dispute resolution, arbitration and class action waiver#
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT REQUIRES YOU AND NARBIS TO RESOLVE MOST DISPUTES BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. IT CONTAINS A CLASS ACTION WAIVER AND A JURY TRIAL WAIVER. YOU MAY OPT OUT OF THIS SECTION WITHIN 30 DAYS, AS DESCRIBED BELOW, AND OPTING OUT WILL NOT AFFECT ANY OTHER PART OF THESE TERMS.
19.1 Informal resolution first. Before starting an arbitration, the party raising a dispute must send a written notice of dispute to the other. You send yours to info@narbis.com. Narbis sends its notice to the email address on your account or the address you used to contact us. The notice must describe the dispute and the relief sought. The parties will try in good faith to resolve the dispute informally for 30 days from receipt. This step is a condition precedent to arbitration, and any limitation period is tolled while it runs.
19.2 Agreement to arbitrate. If the dispute is not resolved informally, you and Narbis agree that any dispute, claim or controversy arising out of or relating to these Terms or the Site, including questions of formation, scope, validity, enforceability and arbitrability, will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified by this section. The Federal Arbitration Act governs the interpretation and enforcement of this section.
19.3 How arbitration works. A single arbitrator decides the dispute. Unless the parties agree otherwise, the arbitration is held by telephone or video conference, or, if an in person hearing is required, in the county or equivalent locality where you live or at another mutually agreed location. The arbitrator may award any relief a court could award to you individually. The award is final and binding and may be entered as a judgment in any court of competent jurisdiction.
19.4 Fees. Narbis will pay the arbitration filing, administration and arbitrator fees that exceed what you would have paid to file the same claim in court, unless the arbitrator finds the claim frivolous or brought for an improper purpose.
19.5 CLASS ACTION AND JURY TRIAL WAIVER. YOU AND NARBIS EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR ANY OTHER REPRESENTATIVE PROCEEDING. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF MORE THAN ONE PERSON WITHOUT THE WRITTEN CONSENT OF ALL AFFECTED PARTIES.
19.6 Small claims. Either party may instead bring an individual claim in a small claims court that has jurisdiction, so long as the claim stays in that court and remains on an individual basis.
19.7 Intellectual property. Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information pending arbitration.
19.8 HOW TO OPT OUT. YOU MAY OPT OUT OF THIS ARBITRATION SECTION BY SENDING AN EMAIL TO info@narbis.com WITHIN 30 DAYS OF THE DATE YOU FIRST ACCEPT THESE TERMS. THE EMAIL MUST STATE YOUR NAME, THE EMAIL ADDRESS ASSOCIATED WITH YOUR NARBIS ACCOUNT OR ORDER, AND A CLEAR STATEMENT THAT YOU WISH TO OPT OUT OF ARBITRATION. THAT IS ALL THAT IS REQUIRED. IF YOU OPT OUT, DISPUTES WILL BE RESOLVED IN THE COURTS IDENTIFIED IN THE SECTION TITLED GOVERNING LAW AND VENUE, AND NOTHING ELSE ABOUT YOUR RELATIONSHIP WITH NARBIS CHANGES. IF NARBIS MATERIALLY CHANGES THIS SECTION IN THE FUTURE, YOU WILL HAVE A NEW 30 DAY PERIOD TO OPT OUT OF THE CHANGE.
19.9 Severability of this section. If the class action and jury trial waiver is found unenforceable as to a particular claim or request for relief, that claim or request will be severed and heard in court and the rest of this section continues to apply. If the agreement to arbitrate is found unenforceable in its entirety, the section titled Governing law and venue applies.
20. Governing law and venue#
20.1 These Terms and any dispute arising out of or relating to them or to the Site are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
20.2 For any matter not subject to arbitration, the state and federal courts located in the State of Delaware have exclusive jurisdiction, and you and Narbis consent to the personal jurisdiction of those courts and waive any objection based on venue or forum non conveniens. Narbis will not bring a claim against you in any other forum except where necessary to enforce an arbitration award or to protect intellectual property.
20.3 The United Nations Convention on Contracts for the International Sale of Goods does not apply.
20.4 Nothing in this section deprives you of the protection of any mandatory consumer protection provision of the law of the country, state or province in which you are habitually resident, and where that law gives you a right to bring proceedings in your local courts, that right is preserved.
20.5 The Site is operated from the United States. We make no representation that the Site or the products described on it are appropriate or available in every location, and you are responsible for compliance with local law where you access the Site.
21. Severability#
If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, severed. The remaining provisions continue in full force.
22. Entire agreement#
These Terms, together with the documents referred to in the section titled Who we are and what these terms cover, are the entire agreement between you and Narbis about the Site, and they replace all earlier terms of use, proposals and understandings about the Site, including any terms of use previously published by Narbis or by any predecessor entity. Nothing in this section limits liability for fraud or fraudulent misrepresentation.
23. Other general terms#
23.1 No waiver. A failure or delay in enforcing a right is not a waiver of that right.
23.2 Assignment. You may not assign these Terms without our prior written consent. Narbis may assign them in connection with a merger, acquisition, reorganization or sale of assets.
23.3 Notices. Legal notices to Narbis are given by email to info@narbis.com and are deemed received on the next business day. We give notices to you by email or by posting on the Site.
23.4 No third party rights. Except as expressly stated, these Terms do not give any right to any person who is not a party to them.
23.5 Force majeure. Neither party is liable for a failure or delay in performance caused by an event beyond its reasonable control, other than a payment obligation.
23.6 Language. These Terms are made in English. Any translation is for convenience, and the English version controls to the extent permitted by law.
23.7 Survival. The sections titled Intellectual property and trademarks, User submissions, reviews and other content you provide, Disclaimers, Limitation of liability, Indemnity, Dispute resolution, arbitration and class action waiver, Governing law and venue, Severability, Entire agreement, and this section titled Other general terms survive any termination of your use of the Site.
