Narbis Terms of Sale

How orders, pricing, shipping and order acceptance work when you buy Narbis hardware.

1. About these terms#

1.1 These Terms of Sale govern your purchase of Narbis hardware and related items from the Narbis online store at narbis.shop. They form a binding agreement between you and Narbis, Corp., a Delaware corporation ("Narbis", "we", "us" or "our").

1.2 By placing an order you confirm that you have read these Terms of Sale, that you agree to them, and that you are able to enter into a binding contract.

1.3 These Terms of Sale cover the sale of goods. Your use of the Narbis apps, the practitioner dashboard and any subscription service is governed by the Narbis Terms of Service, the Narbis End User License Agreement, the Narbis Subscription Terms and, for professional accounts, the Narbis Practitioner Terms. Your personal information is handled as described in the Narbis Privacy Policy. Where a document listed in this paragraph conflicts with these Terms of Sale on a question of software, service or data, that document controls on that question.

1.4 We may update these Terms of Sale. The version in force when you place an order is the version that applies to that order.

2. Defined terms#

In these Terms of Sale:

"Smart Glasses" means the Narbis EEG neurofeedback smart glasses. Sold internationally, but not in the European Economic Area, the United Kingdom or Switzerland.

"Edge" means the Narbis Edge HRV biofeedback glasses. Certified and sold in the United States and Canada only.

"Sensor Device" means any Narbis or third party device that measures Neurophysiological Data for use with the Services, including the Smart Glasses, Edge, the Narbis ear clip, and compatible third party EEG headbands and heart rate sensors. Neurophysiological Data has the meaning given in the Narbis Privacy Policy.

"Hardware" means the Smart Glasses, Edge, the Narbis ear clip, accessories, replacement parts and any other physical goods sold by Narbis.

"Products" means Hardware, Apps, Platform and Services collectively.

"Order" means your request to buy Hardware or another item from narbis.shop.

3. Who may purchase#

3.1 You must be at least 18 years old to place an Order. If you are under 18, an adult may buy on your behalf and will be the purchaser under these Terms of Sale.

3.2 You must have the legal capacity to enter into a contract, and you must provide accurate billing, shipping and contact information.

3.3 Narbis products may be used by a trainee aged 6 or over under the supervision of an adult account holder. The purchaser remains responsible for the account, the Order and payment. See the Narbis Hardware Warnings and Safety Information document before a minor uses any Narbis Hardware.

3.4 Compatible third party sensors are subject to their own manufacturer's minimum age requirement, which may be higher than the Narbis minimum. Where a manufacturer sets a higher minimum age, that higher age applies to any use of that device with a Narbis product. Buying a bundle that contains a third party sensor does not override that manufacturer's age requirement, and Narbis does not permit a trainee below that age to pair the device.

3.5 You may buy for your own use, for the use of members of your household, or for use in your professional practice. You may not buy for resale, and we may decline or cancel Orders that appear to be placed for resale, for export in commercial quantities, or for any purpose prohibited by applicable law.

3.6 We do not accept Orders where the delivery address or the billing address is in the European Economic Area, the United Kingdom or Switzerland. See the section titled "Where each product is available".

4. Placing an Order and how a contract is formed#

4.1 Product listings on narbis.shop are an invitation to order. They are not an offer to sell.

4.2 When you submit an Order we send you an acknowledgement email. That email confirms that we received your Order. It is not acceptance.

4.3 A contract of sale is formed only when we send you a shipping confirmation for the item concerned, or when we otherwise expressly accept your Order. If your Order contains more than one item, a contract is formed separately for each item as it ships.

4.4 Until a contract is formed we may reject or limit an Order in whole or in part. Reasons include, without limitation: the item is unavailable or discontinued, we cannot verify your payment or your identity, the price or description was stated in error, delivery to your location is not offered, quantities suggest resale, or fulfillment would breach export control, sanctions, product certification or other legal requirements. If we reject an Order after taking payment, we refund the amount taken in full.

4.5 We may limit the quantity of any item that may be purchased in a single Order, by a single account, or to a single address.

5. Prices and currency#

5.1 All prices are stated and charged in United States dollars (USD). No Narbis price is quoted in Canadian dollars or in any other currency. Where an earlier Narbis document, listing or invoice referred to Canadian dollars, that reference was in error and is corrected by this paragraph.

5.2 If you pay with a card or account denominated in another currency, your bank or card issuer performs the conversion and may add its own conversion fee or foreign transaction fee. Narbis does not set, receive or control those fees, and the amount that appears on your statement may therefore differ from the USD total shown at checkout.

5.3 The price that applies to your Order is the price displayed at narbis.shop at the moment you submit the Order, plus any shipping charge and any tax shown at checkout.

5.4 As of the Effective Date the published prices are: Smart Glasses, 690 USD; Edge glasses only, 270 USD; Edge with the sensor kit, 349 USD. Prices, product configurations and bundle contents may change at any time before you place an Order. The store listing is the current source of truth.

5.5 Subscription services are priced separately and are charged on their own cycle. As of the Effective Date, Edge Pro, the coach dashboard, is 499 USD as a one time onboarding fee, 199 USD per month for dashboard access, and 29 USD per month for each active client seat. Subscription purchases are governed by the Narbis Subscription Terms and, where applicable, the Narbis Practitioner Terms, not by these Terms of Sale.

6. Errors in price or description#

6.1 We take care with our listings, but errors happen. If an item is listed at an incorrect price, or with an incorrect description, image, specification or availability, we may correct the error and cancel or decline the affected Order even after an acknowledgement email has been sent.

6.2 If we cancel an Order for this reason, we tell you promptly, we refund any amount you have paid for the affected item in full, and we do not charge you the corrected price without your agreement.

6.3 If the error is discovered after the item has shipped, you may keep the item at the price you were charged, or return it under the Narbis Thirty Day Return Policy with return shipping paid by Narbis.

7. Promotional pricing, discounts and codes#

7.1 Promotional prices, discount codes, bundles and sale events apply only while they are published, only to the items they name, and only on Orders placed within the promotion period.

7.2 Unless the promotion says otherwise: one code applies per Order, codes cannot be combined, codes have no cash value, codes cannot be applied retroactively to an Order already placed, and codes may not be resold or transferred.

7.3 If you return an item that was bought as part of a bundle or with a discount, your refund is based on the amount actually paid for that item, allocated across the bundle. See the Narbis Thirty Day Return Policy.

7.4 We may end, shorten or modify a promotion at any time, and we may cancel Orders that use a code obtained through error, duplication, automated means or fraud.

8. Payment#

8.1 Payment is taken through the payment methods offered at checkout. You confirm that you are authorized to use the payment method you provide.

8.2 We may authorize your payment method when the Order is placed and capture funds at that time or on shipment, depending on the payment method and the fulfillment timeline.

8.3 If a payment is reversed, charged back or fails after an item has shipped, we may suspend fulfillment of other Orders, suspend related services, and recover the amount owed.

8.4 We do not ask for card details by email, telephone or text message. If you receive a request of that kind claiming to come from Narbis, do not respond to it, and report it to info@narbis.com.

9. Taxes and duties#

9.1 Prices shown at narbis.shop are exclusive of tax unless the listing states otherwise.

9.2 Sales tax, use tax, value added tax, goods and services tax and any similar tax are added where we are required to collect them, and are shown at checkout before you submit your Order.

9.3 Where we are not required to collect a tax that is nevertheless due on your purchase or your import, you are responsible for that tax and for any filing it requires.

10. Customs, import duties and international delivery of the Smart Glasses#

10.1 The Smart Glasses are sold internationally, other than in the European Economic Area, the United Kingdom and Switzerland, which are covered by the section titled "Where each product is available". When Smart Glasses are shipped outside the United States, the shipment is an import into your country and you are the importer of record unless the carrier documentation states otherwise.

10.2 You are responsible for all customs duties, import taxes, value added tax, brokerage fees, handling fees and other charges levied by your country on the shipment. These charges are set by your government and its agents, not by Narbis. They are not included in the price you pay at checkout and we cannot calculate or quote them for you in advance.

10.3 Customs authorities may open, inspect, delay or hold a shipment. Narbis is not responsible for delays caused by customs clearance, and a customs delay does not by itself entitle you to a refund.

10.4 You are responsible for making sure that the item you order may lawfully be imported into and used in your country. If a shipment is refused, seized or returned because import requirements were not met, or because import charges were not paid, we refund the purchase price of the item once it is returned to us in resalable condition. Outbound shipping, return shipping and any charges already incurred are not refunded.

10.5 We do not misdeclare the value or nature of a shipment, and we cannot mark an Order as a gift or as a sample.

10.6 Fulfillment is subject to export control and sanctions law. We cannot ship to a destination, person or entity where doing so would breach those laws.

11. Where each product is available#

11.1 The Smart Glasses are sold internationally, but not in the European Economic Area, the United Kingdom or Switzerland, subject to the section on customs, import duties and international delivery of the Smart Glasses, and to our ability to ship lawfully to your destination.

11.2 Since 1 October 2026, Narbis does not offer its products or services in the European Economic Area, the United Kingdom or Switzerland. We do not accept an Order for any product where the delivery address or the billing address is in one of those territories.

11.3 In these Terms of Sale, the European Economic Area means the 27 member states of the European Union together with Iceland, Liechtenstein and Norway. Switzerland is named separately because it is not part of the European Economic Area.

11.4 If an Order with a delivery address or a billing address in one of those territories reaches us, we will refuse it and refund it in full, including any shipping charged, and we will tell you why. Nothing about the refusal is a judgment about you. We simply do not sell there.

11.5 Please do not use a freight forwarder, a mail forwarding service, a reshipper or a third party address in another country to bring a Narbis product into the European Economic Area, the United Kingdom or Switzerland. Doing so does not turn the Order into one we can accept. We cannot support a product in a territory we do not serve, and the Narbis Limited Warranty does not cover a unit taken into one.

11.6 If you bought from us before 1 October 2026 and you are in one of those territories, nothing you already have is affected. Your warranty continues and we continue to support you, as described in the Narbis Limited Warranty and the Narbis Return Policy.

11.7 Edge is certified and sold in the United States and Canada only. We do not offer Edge, the Edge sensor kit or Edge specific accessories for sale or delivery outside the United States and Canada, and we cannot accept an Order for delivery of Edge to any other country.

11.8 If an Order attempts delivery of Edge outside the United States and Canada, we will decline that part of the Order and refund it. Please do not arrange your own freight forwarder to take Edge out of the United States or Canada. Edge is certified for those markets only, we cannot support it elsewhere, and the Narbis Limited Warranty does not cover Edge units taken outside the territory in which they were sold.

11.9 Availability by country may change. The checkout is the current source of truth for where we can ship a given item.

12. Availability, backorder and discontinued items#

12.1 Stock shown on the store is our best current information. It is not a guarantee that an item is on hand.

12.2 If an item is on backorder, we tell you at checkout or as soon as we know, and we give you an estimated ship window. Estimates are estimates, not promises of a delivery date.

12.3 If a backordered item is delayed beyond the window we gave you, you may cancel that item for a full refund at any time before it ships.

12.4 If we discontinue an item before your Order ships, we cancel that item and refund it in full. We may offer a successor product, but we will not substitute one without your agreement.

13. Shipping, delivery and risk of loss#

13.1 Shipping charges are shown at checkout and, except as stated in the section on errors in price or description and in the Narbis Thirty Day Return Policy, are not refundable.

13.2 Delivery dates given at checkout or by the carrier are estimates. Narbis is not liable for carrier delay, for weather, for customs holds or for other events outside our reasonable control.

13.3 Title and risk of loss pass to you on delivery of the item to the address you gave us, or on delivery to a freight forwarder, mailbox service or other agent you nominate, whichever happens first. Where you nominate an agent, our delivery obligation is complete when the agent receives the item.

13.4 Please give an address where the shipment can be received safely. We are not responsible for a package that is stolen or damaged after the carrier records delivery, although we will help you open a carrier claim.

13.5 If a shipment is returned to us as undeliverable because the address was wrong or incomplete, or because delivery was refused, we refund the purchase price on receipt. Shipping is not refunded and a further shipping charge applies if you ask us to resend.

13.6 Inspect your Order on arrival. If an item arrives damaged, see the section on damaged or defective on arrival in the Narbis Thirty Day Return Policy and contact us within seven days of delivery.

14. Changing or cancelling an Order#

14.1 You may cancel or change an Order at any time before it ships by emailing info@narbis.com with your Order number. We fulfil quickly, so please contact us as soon as possible. Once an item has entered fulfillment we may not be able to stop it.

14.2 If an item has already shipped, cancellation is handled as a return under the Narbis Thirty Day Return Policy.

14.3 Cancelling a Hardware Order does not by itself cancel any subscription you have started. Subscription cancellation is described in the Narbis Subscription Terms and summarised in the Narbis Thirty Day Return Policy.

14.4 Nothing in this section limits any statutory right of withdrawal or cooling off period you may have as a consumer in your country. Where such a right applies, it applies in addition to the rights given here.

15. Returns and warranty#

15.1 Returns are governed by the Narbis Thirty Day Return Policy. In short: you have 30 days from delivery, the item must be in the condition described in that policy, the original purchase price is refunded, shipping is not refunded, and a Return Merchandise Authorization (RMA) is required before you send anything back. The return destination is issued with the RMA.

15.2 Hardware is covered by the Narbis Limited Warranty, which gives a 12 month limited hardware warranty running from delivery. Read that document for what is covered, what is not, and how to make a claim.

15.3 Hardware bought for use in a professional practice may instead be covered by the appendix titled "Practitioner Hardware Warranty" to the Narbis Practitioner Terms. Where that appendix applies, it controls.

15.4 Do not ship anything back to us without an RMA. Unauthorized returns cannot be tracked to your Order and may be refused.

16. Wellness positioning and medical disclaimer#

16.1 Narbis products are wellness tools and are not intended to diagnose, treat, cure, or prevent any disease.

16.2 Narbis Hardware is not a medical device, is not FDA cleared or approved, and is not a substitute for professional medical, psychological or educational assessment, advice or treatment.

16.3 Nothing on narbis.shop, in our marketing, in the apps or in these Terms of Sale is a clinical claim or a promise of a particular outcome. Individual results vary.

16.4 If you have a medical condition, if you are being treated for one, or if you are unsure whether neurofeedback or biofeedback training is appropriate for you, talk to a qualified clinician before you buy or use Narbis Hardware.

16.5 SAFETY: THE NARBIS LENSES TINT AND CLEAR AS FEEDBACK. THIS IS A CHANGING VISUAL STIMULUS. DO NOT USE NARBIS HARDWARE IF YOU HAVE PHOTOSENSITIVE EPILEPSY OR A HISTORY OF SEIZURES TRIGGERED BY VISUAL STIMULI WITHOUT FIRST CONSULTING A QUALIFIED CLINICIAN. DO NOT WEAR NARBIS HARDWARE WHILE DRIVING OR OPERATING MACHINERY. Read the Narbis Hardware Warnings and Safety Information document in full before first use.

17. Limitation of liability#

17.1 TO THE FULLEST EXTENT PERMITTED BY LAW, NARBIS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS AND SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO YOUR PURCHASE OR USE OF ANY PRODUCT, WHETHER THE CLAIM IS BROUGHT IN CONTRACT, TORT, STRICT LIABILITY, WARRANTY OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

17.2 TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF NARBIS ARISING OUT OF OR RELATING TO AN ORDER IS LIMITED TO THE AMOUNT YOU ACTUALLY PAID TO NARBIS FOR THE ITEM GIVING RISE TO THE CLAIM.

17.3 NOTHING IN THESE TERMS OF SALE EXCLUDES OR LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FOR FRAUD OR FRAUDULENT MISREPRESENTATION, FOR GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR FOR ANY OTHER LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

17.4 SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN THOSE JURISDICTIONS THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION APPLY ONLY TO THE EXTENT PERMITTED, AND YOUR MANDATORY CONSUMER RIGHTS ARE NOT AFFECTED.

18. Dispute resolution, arbitration and class action waiver#

18.1 PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT REQUIRES MOST DISPUTES BETWEEN YOU AND NARBIS TO BE RESOLVED BY INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT, AND IT WAIVES YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION. YOU MAY OPT OUT WITHIN 30 DAYS, AS DESCRIBED BELOW, AND OPTING OUT WILL NOT AFFECT YOUR PURCHASE, YOUR WARRANTY OR YOUR SERVICE.

18.2 Talk to us first. Most problems are solved quickly by email. Before starting arbitration, please send a written description of the dispute, what you want, and your Order number to info@narbis.com. We will do the same if the dispute starts with us. Give us 60 days to work it out.

18.3 If we cannot resolve it, you and Narbis agree that any dispute, claim or controversy arising out of or relating to your purchase, these Terms of Sale, or any Narbis Product will be resolved by binding individual arbitration administered under consumer arbitration rules by a recognized, neutral arbitration provider, before a single arbitrator. The Federal Arbitration Act governs the interpretation and enforcement of this section.

18.4 HOW TO OPT OUT. You may opt out of this arbitration section by sending an email to info@narbis.com within 30 days of your first purchase from Narbis, with the subject line "Arbitration Opt Out", stating your name, the email address on your account and your Order number. That is all it takes. If you opt out, this arbitration section does not apply to you, and every other part of these Terms of Sale continues to apply.

18.5 CLASS ACTION AND JURY TRIAL WAIVER. ARBITRATION IS INDIVIDUAL. YOU AND NARBIS EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE PROCEEDING. IF THIS PARAGRAPH IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM, THAT CLAIM, AND ONLY THAT CLAIM, IS SEVERED FROM ARBITRATION AND BROUGHT IN COURT.

18.6 Small claims. Either you or Narbis may instead bring an individual claim in small claims court if it qualifies there.

18.7 Injunctive relief. Either party may seek relief in court to protect intellectual property rights pending arbitration.

18.8 Arbitration is confidential unless the law requires otherwise. The arbitrator may award the same individual relief a court could award, and may award costs and fees where the law provides for them.

19. Governing law and venue#

19.1 These Terms of Sale and any dispute arising out of them are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

19.2 For any matter not subject to arbitration, the state and federal courts located in the State of Delaware have jurisdiction, and you and Narbis each consent to that jurisdiction and venue.

19.3 The United Nations Convention on Contracts for the International Sale of Goods does not apply and is expressly excluded.

19.4 If you are a consumer, nothing in this section deprives you of the protection of the mandatory consumer law of the country where you live. Those protections are expressly preserved, and where they conflict with this section on a point of mandatory law, they prevail on that point.

20. General#

20.1 Entire agreement. These Terms of Sale, together with the documents they reference, are the entire agreement between you and Narbis about the sale of Hardware, and they replace any prior sale terms.

20.2 Severability. If any provision is held unenforceable, it is limited or removed to the minimum extent necessary and the rest remains in force.

20.3 No waiver. If we do not enforce a provision, that is not a waiver of it.

20.4 Assignment. You may not assign these Terms of Sale without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.

20.5 Force majeure. Neither party is liable for a failure to perform caused by an event outside its reasonable control, other than an obligation to pay.

20.6 Notices. Legal notices to Narbis are given by email to info@narbis.com and are deemed received on the next business day. We give you notice at the email address on your account.

20.7 No third party beneficiaries, except that our affiliates and suppliers may rely on the limitation of liability section.

20.8 Survival. The sections on wellness positioning and medical disclaimer, limitation of liability, dispute resolution, governing law and this general section survive completion or cancellation of an Order.
